THE NBCSPORTS.COM “IT’S MADNESS!” CONTEST OFFICIAL RULES



INTRODUCTION
SPONSOR. NBCSports.com, 1 Blachley Rd. Stamford, CT 06902 (the “Sponsor”). NBCSports.com hosts, operates and maintains an interactive game on the Internet that captures the excitement of college basketball tournaments, called "It's Madness!" (the "Contest") located at http://madness.nbcsports.com/

PRELIMINARY INFORMATION: NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. The “It’s Madness” Contest (“Contest”) begins at 12:00 PM ET on March 14, 2013 and ends at the completion of the 2013 NCAA Championship Game on April 8, 2013 (the “Contest Period”). All times in this Contest refer to Eastern Time (“ET”). Contest is subject to all applicable federal, state and local laws. Entries must be received by the time stated below to be eligible. Void where prohibited or restricted by law. Sponsor reserves the right to verify eligibility qualifications of any participant or winner. CONTEST SELECTION CHANGES MUST BE MADE NO LATER THAN 12:20 PM ET ON MARCH 21, 2013. SELECTION CHANGES MADE AFTER THIS TIME WILL NOT BE EFFECTIVE.

OBJECTIVE
Participants get to choose an It's Madness! tournament bracket consisting of sixty-three (63) games, and a total score for the championship game. Participants will receive points for each game in which they select the winning team, based on the round. A participant’s final score for the tournament will be the total of all of his or her points. The goal is to earn as many points as possible over the course of the tournament, starting March 21, 2013 and ending on April 8, 2013. Participants cannot change any selections after the tip-off of the first college game basketball tournament game, which occurs at 12:20 PM ET. For the purposes of the Contest, any play-in game is NOT considered an official game and is not factored into the scoring of the Contest in any way.

TIMING: The Contest runs from 12:20 PM ET on March 21, 2013 to April 8, 2013 at the completion of the 2013 NCAA Championship Game (“Championship”). Participants can enter the Contest at any time between 12:00 PM ET on March 14, 2013 through 12:20 PM ET on March 21, 2013. Each participant may only enter the Contest once, but is entitled to change selections until 12:20 PM ET on March 21, 2013. Contest selection changes will not be effective if made after 12:20 PM ET on March 21, 2013.

POINTS SYSTEM: The Contest scores all picks exclusively on the basis of the “It's Madness! Pro Points Scoring System” (the "IMPPSS"), and there is no subjective evaluation regarding the worth or value of any game. The IMPPSS awards points for any game, the outcome of which is chosen correctly by the participant. The Points each participant earned through the end of the tournament are then totaled to generate a participant's Total Score ("TS"). A participant's TS is the basic number that Sponsor uses to rank all participants in the game.

SCORING: Each completed bracket is scored under our IMPPSS, as shown below:
  • Round One Games: 1 point for each correctly identified game winner
  • Round Two Games: 2 points for each correctly identified game winner
  • Round Three Games: 4 points for each correctly identified game winner
  • Round Four Games: 8 points for each correctly identified game winner
  • Round Five Games: 12 points for each correctly identified finalist
  • Round Six Game: 16 points for correctly identifying the tournament champion


One (1) participant who receives the most points based on the IMPPSS will win the Grand Prize (as defined below). In the event more than one participant has earned the same number of points at the end of the Contest, the tiebreaker, as set forth below, will be used to determine all potential winner(s).

TIEBREAKERS: When a participant selects his or her brackets, a Final Score for the Championship Game must also be selected. At the end of the Contest, if there are participants tied for the highest Total Score, the participant with the Final Score for the Championship Game that is closest to the actual score of the Championship Game will be deemed the Grand Prize Winner. Participant’s Final Score will be used in the Contest solely in the event that a tiebreaker is necessary and will not be used for any other purpose. If the participants with the highest Total Score are also tied for the Final Score for the Championship Game, the following structure will be used to break the tie to determine the Grand Prize Winner (as defined below), and all ties for second through seventh places:
  1. Participant who scored the most points in Round 6 (Championship Game). If tied, then:
  2. Participant who scored the most points in Round 5 (Final Four). If tied, then:
  3. Participant who scored the most points in Round 4 (Elite 8). If tied, then:
  4. Participant who scored the most points in Round 3 (Sweet 16). If tied, then:
  5. Participant who scored the most points in Round 2 (32 teams). If tied, then:
  6. Participant who scored the most points in Round 1 (64 teams).

In the event participants still remain tied after applying the above tiebreaker, the participant who made his or her final selections earliest in time will be declared the potential winner(s).

ELIGIBILITY: The Contest is open only to legal United States (“U.S.”) citizens residing in one (1) of the of the forty-eight (48) continental U.S. or the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam, U.S. Virgin Islands and other U.S. territories) and who are eighteen (18) years of age or older and the age of majority in their state of residence at time of entry. Officers, directors, and employees of Contest Entities (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win the Contest. Contest Entities, as referenced herein, shall include Sponsor and its respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Contest.

HOW TO ENTER: During the Contest Period, go to http://madness.nbcsports.com/, and either (i) sign into your existing NBCSports.com account using your username and password or (ii) create an NBCSports.com account by completing the online registration at http://madness.nbcsports.com/, which includes your full name, complete address, daytime telephone number, date of birth and valid email address. Once you have signed in, read the applicable Terms of Service available at http://www.nbc.com/terms and click the “I agree to NBC.com’s Terms of Service” box. Normal Internet time, toll, connection and usage rate, if any, imposed by participant’s online carrier will apply. Only ONE (1) Entry is allowed per person throughout the entire Contest Period. Multiple Entries received from any person or email address beyond this limit will void all such additional Entries. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Sponsor is not responsible for lost, late, stolen, incomplete, or otherwise misdirected entries or transactions that are processed late or incorrectly or are lost due to computer or electronic malfunction or other error. All entries become the property of Sponsor and will not be returned. By participating, entrants unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of Sponsor. CONTEST SELECTION CHANGES MUST BE MADE NO LATER THAN 12:20 PM ET ON MARCH 15, 2013. SELECTION CHANGES MADE AFTER THIS TIME WILL NOT BE EFFECTIVE.

WINNER SELECTION: On or about April 13, 2013, employees or representatives of Sponsor, whose decision is final and binding, will determine five (5) potential winners (“Winners”) from all eligible Contest Entries received during the Contest Period in accordance with the IMPPSS as described in the Overview above. All Points Rules and points calculations and awards will be made solely and exclusively by Sponsor, in its sole discretion and all decisions of Sponsor regarding the awarding of points to any and all participants shall be final and binding and are not subject to appeal.

PRIZES: There will be one (1) grand prize (“Grand Prize”) awarded to the first place participant (“Grand Prize Winner”); one (1) first prize (“First Prize”) awarded to the second place participant; one (1) second prize (“Second Prize”) awarded to the third place participant; Prizes will be awarded as follows:
  • Grand Prize: three thousand dollars (“$3,000”) USD
  • 1st Prize: one thousand, five hundred dollars (“$1500”) USD
  • 2nd Prize: one (1) two hundred and fifty dollar (“$250”) NBC Sports Shop Gift Card

The Estimated Retail Value (“ERV”) of the Grand Prize is three thousand dollars ($3,000) USD. The ERV of the first prize is one thousand, five hundred dollars ($1500) USD. The ERV of the second prize is two hundred fifty dollars ($250). The total ERV of all prizes is four thousand, seven hundred fifty dollars ($4,750) No transfer or substitution will be awarded in lieu of stated Prizes except by Sponsor who reserves the right to substitute a Prize (or portion thereof) of comparable or greater value, at its sole discretion. All Prize details are at the sole discretion of the Sponsor. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Gift Cards are subject to certain terms and conditions as specified by NBC Sports or applicable issuer. All federal, state and local taxes and all other costs associated with acceptance or use of Prize(s), not specified herein, are the sole responsibility of the winners. Arrangements for delivery of Prize(s) will be made after potential winner validation. Any depictions of the Prize(s) are for illustrative purposes only. The decisions of the Sponsor are final and entrants agree to be bound by these decisions. Sponsor will furnish an Internal Revenue Service Form 1099 to winners who receive a prize worth six hundred dollars ($600) or more received for the tax year in which the Prize was awarded. The value of Prizes represents Sponsor’s good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, winners shall be bound by such good faith determination.

WINNER NOTIFICATION/RELEASES: Potential Winners will be notified by phone and or email. Sponsor will make two (2) attempts to contact the potential Winners at the phone number or email address provided online. If Sponsor is unable to reach a potential winner via phone or email, he/she will be disqualified and an alternate potential winner will be selected as the individual with the next highest TS. The potential Winners will be required to execute and return a notarized affidavit of eligibility/release of liability and/or publicity release (unless prohibited by law) within five (5) days of attempted notification. If any potential Winner cannot be contacted or fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if required), potential Winner forfeits prize even though his/her name may have been shown/announced on air. If prize is returned as undeliverable, potential Winner forfeits Prize. In the event that a Prize is forfeited or if potential Winner is ineligible or disqualified for any reason, Sponsor, in its sole discretion, will award the Prize to an alternate potential Winner with the next highest TS. Odds of winning a Prize depend on number of eligible entries received.

CONDITIONS: By entering the Contest, each entrant agrees for entrant and for entrant’s heirs, executors, and administrators (a) to release and hold harmless Contest Entities and their respective officers, directors, and employees (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant’s participation in the or Contest and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by Prize supplier that are sent along with Prize; (c) if selected as a Winner, to the posting of such entrant’s name on Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest at Sponsor’s sole discretion.

ADDITIONAL TERMS: Sponsor reserves the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other “force majeure” event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants’ or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsor reserves the right to cancel, modify, or suspend the Contest or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select Winners from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension based on the Judging Criteria above. Notice of such cancellation, modification, or suspension will be posted at Website. Sponsor may prohibit any entrant or potential entrant from participating in the Contest, if such entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion).

USE OF DATA/PARTICIPANT’S PERSONAL INFORMATION: The Sponsor will be collecting personal data about participants when they enter the Contest. The Sponsor does not guarantee the safety of the transmission of information sent by the participant’s and all information is sent at the participant’s own risk. The Sponsor may disclose the participant’s personal information only in any manner consistent with Sponsor's statement on privacy located at http://www.nbcsports.com/privacypolicy/ (“Privacy Site”). Participants will have the opportunity to receive information from Sponsor by checking the appropriate box. If, at any time, you no longer wish to receive materials from Sponsor, please go to the Sponsor’s Privacy Site and follow the procedures indicated.

DISPUTES: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
